These Terms of Service constitute a legally binding agreement between you and Novuspire Limited, a company duly incorporated under the laws of the Federal Republic of Nigeria, which owns and operates the Yomex application and related services ("Yomex" or the "Service").

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent that you have the authority to enter into these Terms and that all registration information you submit is accurate and complete.

2. Account Registration and Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must promptly notify us of any unauthorized use or suspected breach of security.

3. Subscriptions, Trials, and Billing

Yomex offers a Free plan and paid Plus and Pro plans. Paid plans may unlock higher limits, connected account features where available, receipt scanning, voice input, exports, richer analysis, Ellio AI planning, projects, advanced forecasting, priority support, and other premium capabilities. Plan availability, feature limits, and pricing may vary by country, platform, store, and local currency.

If you buy a subscription through an app store, your purchase, renewal, cancellation, refund, taxes, and payment method are handled by that store under its terms. Unless shown otherwise at purchase, subscriptions renew automatically until canceled. You can manage or cancel your subscription through the store account settings used for the purchase. Deleting your Yomex account or removing the app does not automatically cancel an active subscription.

We may receive subscription status and purchase history information so we can unlock paid features, provide support, prevent fraud, and understand subscription performance. Refunds are handled according to the rules of the store where you purchased, except where applicable law requires otherwise.

4. Acceptable Use

You agree not to, and not to allow third parties to:

• Use the Services for any unlawful, harmful, or fraudulent activity.
• Reverse engineer, decompile, or attempt to derive source code from the Services.
• Interfere with or disrupt the integrity or performance of the Services.
• Upload, post, or transmit content that infringes intellectual property or privacy rights.
• Access the Services to build a competing product or service.

5. Not Financial Advice; AI Insights and Your Responsibility

Yomex is a personal finance organizer that helps you track spending, manage budgets, plan bills, follow goals, and understand patterns in your money. We are not a bank, brokerage, investment adviser, tax adviser, legal adviser, or licensed financial adviser. We do not provide financial, investment, legal, tax, or credit advice.

Yomex may provide automated or AI-assisted insights, suggestions, projections, categorization, receipt extraction, voice transcription, and Ellio chat or Plan Mode outputs. These outputs are for informational and educational purposes only. They may be inaccurate, incomplete, delayed, or not suited to your circumstances. You remain responsible for reviewing information before acting on it and for any financial decisions you make. For professional advice, consult a qualified adviser.

6. Your Content

You retain ownership of content you submit to the Services ("User Content"). User Content may include financial records, account names, transactions, budgets, goals, debts, projects, notes, receipt images, voice input, imports, support messages, AI prompts, and AI planning content. You grant Yomex a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display User Content solely as necessary to operate, secure, improve, and provide the Services. You represent that you have all rights necessary to submit User Content and that it does not violate these Terms or applicable laws.

7. Intellectual Property

The Services, including all software, designs, text, graphics, and logos, are owned by or licensed to Yomex and are protected by intellectual property laws. Except for the limited rights expressly granted herein, no rights are transferred to you. All rights not expressly granted are reserved by Yomex and its licensors.

8. Third‑Party Services

The Services may use or integrate with third-party services for app hosting, authentication, storage, subscriptions, store billing, connected accounts where available, AI processing, notifications, analytics, customer support, and app updates. The Services may also contain links to third-party websites. Your use of third-party services may be governed by their own terms and privacy policies. We are not responsible for third-party services and disclaim any liability arising from your use of them, except where applicable law says otherwise.

9. Privacy

Our collection and use of personal data is described in our Privacy Policy. By using the Services, you consent to such processing consistent with applicable law.

10. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOMEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR‑FREE OR UNINTERRUPTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL YOMEX OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will indemnify and hold harmless Yomex and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Services or violation of these Terms.

13. Suspension and Termination

We may suspend or terminate your access to the Services at any time for any reason, including for violation of these Terms or to protect the Services, users, or third parties. Upon termination, your right to use the Services will cease, but certain provisions will survive as noted below.

14. Governing Law; Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles, unless consumer protection laws in your jurisdiction require another result. You and Yomex agree to first try to resolve any dispute informally by contacting hello@useyomex.com. If a dispute cannot be resolved informally, it will be handled by the competent courts or dispute resolution forum required by applicable law.

15. Changes to the Services or Terms

We may modify the Services and these Terms from time to time. We will post the updated Terms with a new effective date. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

16. Miscellaneous

• These Terms constitute the entire agreement between you and Novuspire Limited.
• If any provision is found unenforceable, the remaining provisions will remain in full force.
• You may not assign these Terms without our prior written consent.
